1. Contractual Relationship

These Terms of Use ("Terms") govern the access or use by individuals from Egypt of the applications, websites, content, products, and services ("Services") provided by TOMY Company, a sole proprietorship incorporated in Cairo, Egypt and registered in Cairo under Commercial Register No. 268328 ("TOMY").

Please read these Terms carefully before accessing or using the Services.

Your access to and use of the Services constitutes your agreement to be bound by these Terms, which establishes a contractual relationship between you and TOMY. If you do not agree to these Terms, you may not access or use the Services. These Terms specifically supersede any prior agreements or arrangements entered into with you. Subject to applicable law, TOMY may terminate these Terms or any of your Services, or TOMY my may stop providing the Services or block access to the Services or any part thereof. For the avoidance of doubt, termination of access to the App will not result in termination during an ongoing trip, and this clause may not be invoked to terminate access to the App during the course of a trip.

Supplemental terms may apply to certain Services, such as policies for a particular event, activity, or promotion. These supplemental terms relating to the Services provided will be disclosed to you. These supplemental terms are in addition to the Terms for the purposes of the Services provided and are considered part of them. In the event of a conflict with respect to the Services provided, the supplemental terms will prevail over these Terms.

TOMY may amend the Terms relating to the Services from time to time. Amendments will become effective upon TOMY posting the updated Terms on this Site or posting the revised policies or supplemental terms relating to the Service provided. Your continued access to or use of the Services after such posting constitutes your agreement to be bound by the Terms as amended. We collect and use personal data in connection with the Services in accordance with the TOMY Privacy Policy, which can be viewed. You hereby confirm that you have read and accepted the TOMY Privacy Policy and expressly consent to TOMY providing the necessary information (including your contact information) to claims adjusters or insurance companies in the event of a complaint, dispute, or dispute, which may include an accident between you and a third-party service provider (including a driver in a transportation network), where such information or data is necessary to resolve the complaint, dispute, or dispute.

2. Services

The Services constitute a technology platform that enables users of TOMY mobile applications or websites available as part of the Services (each an "App") to arrange and schedule transportation and/or logistics services with independent third-party providers of such services, including independent third-party transportation providers and independent third-party logistics providers under an agreement with TOMY or certain of its subsidiaries ("Third Party Service Providers"). The Services are provided for your personal, non-commercial use only unless Tomi agrees otherwise in a separate written agreement with you. You acknowledge that Tomi does not provide transportation or logistics services or act as a transportation company, and that all transportation or logistics services are provided by independent third-party contractors who do not work for Tomi or any of its subsidiaries.

License.

Subject to your compliance with these Terms, Tomi grants you a limited, non-exclusive, non-sublicensable, non-transferable, and revocable license to: (1) access and use the Applications on your personal device solely in connection with your use of the Services; and (2) access and use any content, information, and related materials that may be made available through the Services, in all such cases solely for your personal, non-commercial use. Tomi and its licensors reserve any rights not expressly granted in these Terms.

Restrictions.

You may not: (1) remove any copyright, trademark, or other proprietary notices from any part of the Services; or (2) reproduce, modify, prepare derivative works from, distribute, license, rent, lease, sell, resell, transfer, publicly display, publicly perform, broadcast, disseminate, publish, or otherwise exploit the Services except as expressly permitted by Tomy; (3) tamper with, reverse engineer, or disassemble the Services except as permitted by applicable law; (4) create a link to, mirror, or frame any part of the Services; (5) create or cause to be created any programs or scripts for the purpose of scraping, indexing, scraping, or otherwise exploiting any part of the Services, or unduly burdening or impairing the operation and/or functionality of any aspect of the Services; or (6) attempt to gain unauthorized access to or damage any aspect of the Services or any of the systems and networks related to the provision of the Services.

You acknowledge that portions of the Services may be made available under various TOMY brands or ordering options related to transportation or logistics services, including, without limitation, the types of transportation services currently referred to as TOMY, TOMYMOTORCYCLE, TOMYBIG, TOMYGO, TOMYBUDGET, TOMYGOCOMFORT, and the logistics ordering brands currently referred to as TOMY. You further acknowledge that the Services may be provided under such brands or ordering options by or in connection with: (1) certain TOMY subsidiaries and affiliates; or (2) independent third-party service providers, including transportation network company drivers, charter permit holders, or holders of similar transportation permits, authorizations, or licenses.

Third-Party Services and Content.

The Services may be provided or made accessible in conjunction with third-party services and content (including advertising) that TOMY does not control. You acknowledge that different terms of use and privacy policies may apply to your use of third-party services and content. TOMY does not endorse We are not responsible for any products or services provided by third-party providers under this agreement, nor are we responsible for providing or supporting the services in any way. Your access to the Services using these devices is subject to the terms set forth in the applicable third-party provider's terms of service.

Ownership

The Services and all rights therein remain the property of Tumi or its licensors. Neither these Terms nor your use of the Services grant you any rights: (1) in or related to the Services other than the limited license granted above; or (2) to use or reference in any manner Tumi's or its licensors' company names, logos, product and service names, trademarks, or service marks.

3. Your Use of the Services

User Accounts.

To use most aspects of the Services, you must register for and maintain an active user account for the Services ("Account"). You must be at least 18 years of age or the age of majority in your jurisdiction (if different from 18) to obtain an Account. Account registration requires providing Tumi with certain personal information, such as your name, address, mobile phone number, and age, as well as at least one valid payment method (either a credit card or an accepted payment partner). You agree to record and maintain accurate, complete, and current information in your account. Failure to maintain accurate, complete, and current information in your account, including designating an invalid or expired payment method, may result in your inability to access or use the Services or in Tomi's termination of these Terms with you. You are responsible for all activities that occur under your account and agree to maintain the security and confidentiality of your account username and password at all times. You may not have more than one account unless Tomi authorizes you otherwise in writing.

User Requirements and Conduct.

The Service is not available for use by persons under the age of 21. You may not delegate the use of your account to third parties, and you may not permit persons under the age of 21 to obtain transportation and logistics services from third-party service providers unless they are accompanied by you. You may not assign or transfer your account to any other person or entity. You agree to comply with all applicable laws when using the Services and may use the Services only for lawful purposes (for example, not to transport illegal or dangerous materials). You may not, by using the Services, cause harm, inconvenience, harassment, or property damage to third-party service providers or any other parties. In some cases, you may be required to provide proof of identity to access or use the Services, and you agree that you may be denied access to or use of the Services if you refuse to provide such proof.

Text Messages SMS & ( WhatsApp):

Once you create an account, you agree that the Services may send you informational text messages as part of the normal business course of your use of the Services. You may opt out of receiving text messages from Tumi at any time by following the instructions provided, and you acknowledge that opting out may affect your use of the Services.

Promotional Codes.

Tumi may, in its sole discretion, create promotional codes that may be redeemed and credited to your account, or other features or benefits related to the Services and/or the services of third-party service providers, subject to any additional terms Tumi establishes on a per-promotional code basis (“Promotional Codes”). You agree that Promotional Codes: (1) must be used for the intended audience and purpose and in a lawful manner; (2) may not be copied, sold, transferred in any way, or made available to the public (whether posted in a public form or otherwise), unless expressly permitted by Tomy; and (3) may be disabled by Tomy at any time and for any reason.

without incurring any legal liability; (4) may only be used in accordance with the specific terms established by Tumi for each promotional code; (5) is not valid for cash payments; and (6) may expire prior to your use. Tumi reserves the right to withdraw or deduct credits, benefits, or other benefits obtained through the use of promotional codes by you or any other user if Tumi determines or believes that the use or redemption of promotional codes was in error, fraudulent, illegal, or violates the terms of the applicable promotional code or these Terms.

User-Generated Content

Tumi may, in its sole discretion, permit you from time to time to submit, upload, post, or otherwise make available to Tumi textual, audio, and/or visual content and information through the Services, including comments and feedback related to the Services, support requests, and entries for contests and promotions (“User Content”). Any User-Generated Content you submit remains your sole property. However, by submitting User Content to Tomy, you grant Tomy a worldwide, perpetual, irrevocable, non-transferable, royalty-free license, including the right to sublicense, to use, copy, modify, create derivative works from, distribute, publicly display, publicly perform, and otherwise exploit such User Content in all forms and distribution channels now known or hereafter devised (including in connection with Tomy's Services and businesses, as well as third-party websites and services), without additional notice to you or consent from you and without payment to you or any other person or entity.

You represent and warrant that: (1) you are either the sole and exclusive owner of all User Content or you have all rights and all necessary licenses, consents, and releases to grant Tomy the license to use the User Content as set forth above; (2) Neither your User Content nor your submission, uploading, posting, or otherwise making available such User Content nor Tumi's use of such User Content will infringe, misappropriate, or violate any third party's intellectual property rights, proprietary rights, copyright, or privacy rights, or violate any applicable laws or regulations.

You agree not to submit any User Content that is libelous, defamatory, hateful, violent, obscene, pornographic, illegal, or otherwise offensive, as determined by Tumi in its sole discretion, whether or not such material is protected by law. Tumi may, but is not obligated to, review, monitor, or remove User Content at its sole discretion at any time and for any reason without notice to you.

Network and Device Access.

You are responsible for obtaining the necessary network access data to use the Services. If you access or use the Services from a wireless device, your mobile network's data and messaging rates and charges may apply, and you are responsible for such rates and charges. You are responsible for obtaining and maintaining appropriate equipment or devices necessary to access and use the Services and Applications and any updates thereto. Tomy does not guarantee that the Services, or any part thereof, will operate on any particular equipment or device. In addition, the Services may suffer from malfunctions and delays inherent in the use of the Internet and electronic communications.

4. Payment

You understand that use of the Services may result in fees being charged to you for services or goods you receive from a third-party service provider ("Fees"). After you receive services or goods obtained through your use of the Service, you expressly agree under these Terms and Conditions that Tomy or its contracted collection agent will facilitate payment of the applicable Fees on behalf of the third-party service provider as the third-party service provider's limited payment collection agent. Payment of the Fees is deemed to be

You understand that using the Services may result in fees being charged to you for services or goods you receive from a Third Party Provider (“Fees”). Upon receipt of services or goods obtained through your use of the Service, you expressly agree that Tumi or its contracted collection agent will facilitate payment of applicable Fees on behalf of the Third Party Provider as the Third Party Provider’s limited payment collection agent. Such payment of Fees is as effective as if payment had been made directly by you to the Third Party Provider. Fees will include applicable taxes as required by law. Without prejudice to applicable laws and regulations, all fees you pay are final and non-refundable unless Tumi indicates otherwise. You reserve the right to request a reduction in fees from a Third Party Provider for services or goods you received from them at the time you received such services or goods. Accordingly, Tumi will respond to any request from any Third Party Provider to adjust the fees for a particular service or good. All fees are due immediately, and payment is facilitated by Tomy using your preferred payment method specified in your account. Tomy or its contracted collection agent will then email you a receipt. If the primary payment method you have designated in your account expires, is invalid, or cannot be used for payment, you agree that Tomy or its contracted collection agent, acting as the limited payment collection agent for the third-party service provider, may use the secondary payment method in your account, if any.

Tomy reserves the right to apply fees for new or modified features or to revise fees for any services available on the Tomy mobile applications and/or the Tomy websites. In such cases, you will be notified in writing of the fees and associated terms. Furthermore, you acknowledge and accept that fees may increase significantly in certain geographic areas during times of high demand. Tomy will make reasonable efforts to notify you of fees that may apply, provided that you are responsible for fees incurred in your account regardless of your knowledge of them or the amounts associated with that account. From time to time, Tumi may provide certain users with promotional offers and discounts that may result in different amounts being paid for the same or similar services or goods while using the Services. You agree that such promotional offers and discounts, unless also made available to you, are not related to your use of the Services or the fees charged to you. You may choose to cancel your order for services or goods from a Third Party Provider at any time prior to the Third Party Provider's arrival, and if the Third Party Provider arrives, you may be required to pay a cancellation fee.

This payment structure is intended to fully compensate the Third Party Provider for the services and goods provided. Except for taxi services requested through the App, Tumi does not allocate any portion of your payments as a gift or tip to the Third Party Provider. Any statement made by Tumi (on its website, in the App, or in Tumi's marketing materials) that tips are "voluntary," "unrequired," and/or "included" in your payments for services or goods provided is not intended to indicate that Tumi provides any additional amounts to the Third Party Provider other than the amounts described above. You understand and agree that while you are free to provide additional tip payments to any Third Party Provider who provides services or goods to you through the Service, you are not obligated to do so. Tips are paid voluntarily. After you receive services or goods through the Service, you will have the opportunity to rate your experience and provide additional feedback about the Third Party Provider.

Repair or Cleaning Fees.

You expressly agree that you will be responsible for the cost of repairing (or necessary cleaning) damage to the Third Party Provider's vehicles and property resulting from the use of the services under your account, in excess of the damage caused by "normal wear and tear" and necessary cleaning ("Repair or Cleaning"). If a third-party service provider notifies you of a need for repair or cleaning, and Tomy approves such repair or cleaning request at its reasonable discretion, Tomy reserves the right to facilitate payment of the reasonable cost of such repair or cleaning on behalf of the third-party service provider using the payment method specified in your account. These amounts will be transferred by Tomy to the relevant service provider and are non-refundable.

5. Limitation of Liability; Your Liability and Indemnity; Disclaimer.

Limitation of Liability. Nothing in these Terms limits or excludes any liability that cannot be limited or excluded by law, including liability for death or personal injury resulting from negligence, liability for fraud or fraudulent misrepresentation, or any change in your consumer rights that cannot be excluded under applicable law.

Tomy, its affiliates, directors, officers, employees, agents, and/or subcontractors shall not be liable under or in connection with these Terms, including, but not limited to, liability in contract, tort (including negligence or misrepresentation), breach of statutory duty, compensation, or any other liability for any of the following arising out of or in connection with the use of the Services and/or Applications: (1) loss of profits; (2) loss of sales or business; (3) loss of agreements or contracts; (4) loss of anticipated savings; (5) loss of use of or corruption of software, data, or information; (6) loss of or damage to reputation; and indirect or consequential loss. Tomy, its affiliates, and their respective directors, officers, employees, agents, and/or subcontractors are not liable for: (1) damages or losses arising from any transaction or relationship between you and a third-party service provider; (2) the availability and accuracy of the third-party service provider's content, products, or services; or (3) delays or non-performance resulting from causes beyond our reasonable control.

Our aggregate liability to you, arising from these Terms or their subject matter, or in connection with the provision of the Services to you, whether in contract, tort (including negligence or misrepresentation), breach of statutory duty, damages, or otherwise, is limited to five hundred pounds (500), unless otherwise agreed for a particular Tomy product.

Tomy and its affiliates are not liable for business losses. The Applications and Services are provided for personal use only. If you use the Applications and Services for any commercial or business purpose, Tomy will not be liable to you for any loss of profit, loss of business, loss of revenue, business interruption, or loss of business opportunity (whether or not such losses could reasonably be expected to arise from our negligence or breach of these Terms).

Your Liability and Indemnity

You are liable for any damages we suffer as a result of your breach of these Terms, your misuse of the Services and/or Applications and Tomy Products, or any violation by you of any laws or the rights of a third party. You are responsible for all activities that occur under your account unless such activities were unauthorized by you and not caused through negligence.

By accessing the Services and/or Applications, you agree to indemnify, defend, and hold us, our officers, directors, and employees harmless (at our option), from any and all claims, liabilities, expenses, damages, fines, penalties, social security contributions, and taxes arising out of or related to your breach of these Terms, applicable law, or claims by third parties directly or indirectly related to your use of third-party services and the Services generally.

Disclaimer.

We provide the Services "as is" and "as available." The Services or any related digital content may be subject to limitations, delays, and/or other problems inherent in the use of the Internet and electronic communications, and their availability, uninterruptedness, or error-free nature cannot be guaranteed at all times. Tomi may suspend, withdraw, or restrict the availability of all or any part of the Services for business and operational reasons. Tomi will endeavor to provide you with reasonable notice prior to any suspension or withdrawal of the Service.

6. Other Provisions

Proprietary Rights Infringement Claims

Claims of copyright infringement should be sent to Tomy's designated agent. Please visit Tomy's website for the specific address and additional information.

Notices.

Tomy may give notices by sending a general notice on the Services, by email to the mailing address on your account, or by sending written notice by regular mail to the address on your account. You may also give notices to Tomy by written correspondence at 11 Plot 359, 14th District, Sadat City.

General Provisions.

You may not assign or transfer any of these Terms, in whole or in part, without Tomy's prior consent. However, you agree to give Tomy your consent to enable Tomy to assign or transfer these Terms, in whole or in part, including to: (1) any subsidiary or affiliate; (2) an acquirer of Tomy's stock, business, or assets; or (3) a successor company in the event of a merger. No joint venture, partnership, employment, or agency relationship will arise between you, Tomy, or any other third-party service provider as a result of the contract between you and Tomy or as a result of your use of the Services.

If any provision of these Terms is held to be illegal, void, or unenforceable, in whole or in part, under any law, such provision or part of a provision shall be deemed not to be part of these Terms without affecting the legality, validity, or enforceability of the remaining provisions of these Terms. In such event, the parties shall replace the illegal, void, or unenforceable provision/part of a provision with a legal, valid, and enforceable provision/part of a provision that has, to the greatest extent possible, a similar effect to the illegal, void, or unenforceable provision/part of a provision, taking into account the intent and purpose of these Terms. These Terms constitute the entire agreement and understanding between the parties with respect to their subject matter and supersede and replace all prior and contemporaneous agreements and representations regarding their subject matter. In these Terms, the words “including” and “include” mean “including but not limited to”
